1. About Journalia

Journalia ("the Provider") offers a subscription-based service that helps healthcare professionals transcribe consultations and generate medical note drafts using automatic speech recognition. By using Journalia, the Customer accepts these terms of use.

2. Subscription and Technical Requirements

2.1 Subscription Period

The subscription starts upon registration and runs according to the selected period and payment plan.

2.2 Technical Equipment and Network

The Customer is responsible for having access to necessary equipment (computer, tablet or smartphone with microphone) and sufficient internet connection to use the service.

3. Pricing and Payment

3.1 Price Setting

The price for the Customer's subscription is stated upon registration or on our order page.

3.2 Price Changes

We reserve the right to adjust prices. Significant price changes will be notified at least 30 days before they take effect. Continued use of the service after the notification period implies acceptance of the new prices.

4. Usage Rights and Limitations

4.1 Scope of Usage Rights

The Customer receives a non-exclusive, time-limited right to use Journalia in accordance with this agreement for internal documentation use in their healthcare service business.

4.2 Limitations

Unauthorized access, sharing of user accounts, attempts to circumvent security mechanisms, or other use of the service contrary to these terms is not permitted. In case of violation of these terms, the Provider reserves the right to suspend or terminate the Customer's access immediately.

5. Responsibility for Medical Note Drafts

Journalia uses automatic speech recognition to generate medical note drafts. The Customer is responsible for reviewing, verifying, and potentially correcting these drafts before they are incorporated into patient records or other documentation. The Provider assumes no responsibility for decisions made based on unverified drafts generated by the service. Our total liability for damages is limited to the amount the Customer has paid for the subscription in the last twelve (12) months.

6. Data Processing and Privacy

6.1 Data Processor Role

The Provider acts as a data processor in accordance with GDPR and relevant health legislation for the personal data processed on behalf of the Customer when using the service. Our data processing agreement regulates this processing. The Customer is the data controller and is responsible for ensuring the lawfulness of the processing, including obtaining necessary consent from patients.

6.2 Data Deletion

Audio recordings of consultations are automatically deleted no later than 48 hours after they are processed. Generated medical note drafts are stored encrypted and are available to the Customer. The Customer is responsible for storing and potentially deleting the finished medical notes in their own systems.

7. Information Filtering

Journalia may use technology to reduce the inclusion of directly identifiable information in the drafts. The Customer is nonetheless responsible for ensuring that the final documentation complies with applicable privacy and confidentiality requirements.

8. Availability and Maintenance

8.1 Availability

We strive to ensure high availability for Journalia, but cannot guarantee uninterrupted access.

8.2 Maintenance and Updates

Planned maintenance and updates may result in temporary downtime. We will reasonably attempt to notify about planned downtime. The Provider is not responsible for losses or costs resulting from operational disruptions or maintenance.

9. Security and Confidentiality

9.1 Data Storage and Security Measures

Data is stored and processed in accordance with our privacy policy and with appropriate technical and organizational security measures to protect against unauthorized access.

9.2 Customer Security Responsibility

The Customer is responsible for protecting their login details (BankID/Buypass) and for ensuring proper use of their access to the service. Any suspicion of misuse must be immediately reported to the Provider.

10. Intellectual Property Rights

All rights to Journalia, including software, design, trademarks, and content, belong to the Provider or our licensors. The Customer has only a limited right of use in accordance with this agreement and has no right to copy, modify, distribute, or otherwise exploit the service without written consent from the Provider.

11. Customer Responsibility

The Customer is responsible for their use of Journalia and for ensuring that this complies with applicable laws, regulations, and these terms. The Customer is also responsible for the quality and content of the final documentation based on drafts from Journalia.

12. Changes to Terms of Use

We reserve the right to change these terms of use. Significant changes will be notified at least 30 days before they take effect. Continued use of the service after changes are published or notified implies acceptance of the updated terms. The Customer has the right to terminate the agreement if they do not accept the new terms.

13. Termination

13.1 Termination Period

The subscription can be terminated by the Customer in accordance with the conditions specified in the Commercial agreement.

13.2 Consequences of Termination

Upon termination, the Customer's access to the service ceases at the end of the current subscription period.

14. Transfer of Agreement

The Customer cannot transfer their rights or obligations under this agreement without written consent from the Provider. The Provider has the right to transfer the agreement to another company in connection with a business transfer.

15. Governing Law and Dispute Resolution

This agreement is governed by Norwegian law. Any disputes arising in connection with this agreement shall be sought resolved amicably. If agreement is not reached, the dispute shall be brought before the ordinary courts with Oslo District Court as venue, unless otherwise required by mandatory legislation.
